Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at january-jones.net and any related tools, content, and services provided by January Jones Rx Savings (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable laws and regulations of the United States of America. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and the owner, Ken Davis, d/b/a January Jones Rx Savings.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JANUARY JONES RX SAVINGS, ITS OWNER, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. Indemnification

You agree to indemnify, defend, and hold harmless January Jones Rx Savings, its owner, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) your content or submissions.

Dispute Resolution; Binding Arbitration; Class Action Waiver

Agreement to Arbitrate: To the fullest extent permitted by law, you and January Jones Rx Savings agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, except that either party may seek relief in small claims court for qualifying matters.

Opt-Out: You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending an email to [email protected] with the subject line "Arbitration Opt-Out" and your full name and the email address associated with your use of the Service.

Class Action and Jury Trial Waiver: YOU AND JANUARY JONES RX SAVINGS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO A JURY TRIAL.

Venue and Governing Rules: Arbitration shall take place in Hampton, Virginia, or by video/telephone conference if in-person proceedings are impracticable, and shall be governed by the Federal Arbitration Act. The arbitrator shall have exclusive authority to resolve disputes regarding the enforceability, interpretation, applicability, or formation of this arbitration agreement.

Governing Law and Venue

These Terms and any Dispute not subject to arbitration shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Subject to the arbitration provision above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in or serving Hampton, Virginia.

Termination and Suspension

We may, in our sole discretion and without liability, suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms or applicable law. Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination shall survive.

Modifications to the Service and Terms

We may update, change, or discontinue any aspect of the Service at any time without notice. We may modify these Terms from time to time. Changes are effective when posted with an updated Effective Date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Severability; Waiver; Entire Agreement

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. These Terms constitute the entire agreement between you and January Jones Rx Savings regarding the Service and supersede all prior or contemporaneous agreements on the subject matter.

Force Majeure

We shall not be liable for any delay or failure in performance resulting from acts beyond our reasonable control, including acts of God, labor disputes, pandemics, supply chain disruptions, governmental actions, utility failures, or telecommunications interruptions.
